Terms of Service

By creating an account on Pier or using the service, you agree to these terms. They are written in plain English so you actually have a chance to read them.

About this service

Pier is a business-to-business secure file transfer service operated by Milestone Acrylic LLC, a New York limited liability company. The product is operated at pierlabs.pro.

Your account

  • You may create one organization per business. Operate multiple businesses? Create a separate organization for each.
  • You must provide accurate information when you sign up. Misrepresentation may result in account suspension.
  • You are responsible for keeping your password secure and for everything that happens under your account. Enable two-factor authentication if you want a higher bar.
  • An organization's Owner has full control. Owners can transfer ownership at any time from the Team page.

Acceptable use

You agree to use Pier only for lawful business purposes. See our Acceptable Use Policy for what is and is not allowed. Violating the AUP is a violation of these Terms.

Service availability

We make a best effort to keep Pier running 24/7, but we do not currently offer a contractual SLA. Maintenance windows are communicated to organization Owners by email when feasible.

Liability

To the maximum extent permitted by law:

  • Milestone Acrylic LLC is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • Our total liability to you, for any claim arising out of or relating to the service, will not exceed the fees you paid us in the 12 months before the claim arose. For free-tier accounts, this amount is zero.
  • These limits apply even if a remedy fails its essential purpose.

Termination

  • You may cancel your account at any time from Settings → Danger zone.
  • We may suspend or terminate your account if you violate these Terms or the AUP, or if we are legally required to. We will notify you in writing where reasonable.
  • On termination by you, your organization's files, audit logs, and team data are permanently deleted from our systems within 30 days. On termination by us for AUP violations, we may preserve relevant data as required for legal investigations before deletion.

Disputes and governing law

  • These Terms are governed by the laws of the State of New York, without regard to conflicts-of-law principles.
  • Any disputes will be resolved in the state or federal courts located in New York County, New York. You and Milestone Acrylic LLC consent to the personal jurisdiction of those courts.
  • Either party may elect to resolve a dispute through individual binding arbitration in New York under the rules of the American Arbitration Association, instead of court.
  • You and Milestone Acrylic LLC each waive any right to a jury trial or to participate in a class action.

Changes to these terms

If we make a material change to these Terms, we will notify organization Owners by email at least 30 days before it takes effect. Continued use of Pier after that date constitutes acceptance.
